For both Hardware and Software/Recurring Services:
(1) This Quotation is governed by the TELCO General Terms and Conditions of Sale and is prepared for the Customer or Purchaser set out in this Quotation. It is confidential and applicable for its intended use
only.
(2) Other applicable terms and conditions shall be as attached to this quotation or the subsequent service order, all of which are hereby expressly incorporated by reference.
(3) Customer or Purchaser shall forthwith make good to TELCO all fees and expenses incurred by TELCO(including without limitation cancellation/termination, delivery/transport, manpower and all other fees and charges) in respect of any cancellation by Customer in respect of any products and services (or part thereof) set forth in this quotation following TELCO’ confirmation of acceptance.
(4) The Customer or Purchaser acknowledges and agrees that the Price is subject to change without notice due to changes in exchange rates, tariffs or other government charges. In addition, for amounts quoted in SGD, TELCO reserves the right to increase the price quoted in the event the exchange rate of the SGD against USD fluctuate by two percent (2%) or more percentage points from the time of quotation to the time quotation is signed by customer. The exchange rate is pegged to the rate reflected in Wall Street Journal at the relevant dates.
(5) Except for payment obligations of the Customer or Purchaser, neither party shall be liable to the other for the consequences of any delays or failures of its performance which are caused by any epidemic, pandemic, outbreaks of infectious disease or any other public health crisis, including quarantine or other employee restrictions.
(6) This Quotation and the General Terms and Conditions of Sale shall be governed by the laws of Singapore and both parties agree to the exclusive jurisdiction of the Singapore courts.
Specifically; for Hardware:
(1) Prices are only for equipment and/or services quoted herein. If Customer or Purchaser requires provision of equipment and/or services not quoted herein, other charges will apply.
(2) Prices exclude any equipment, cable trays, conduits or any other items (“Items”) that may be required during the installation process. All costs associated with the Items shall be borne by Customer or Purchaser.
Specifically; for Software/Recurring Services:
(1) Commissioning date is subject to resources availability to be confirmed by TELCO Connecting Ltd.
(2) Rented equipment, if any, will be retrieved on the last day of the rental period. Costs related to the retrieval and uninstallation charges are not included unless otherwise stated. (3) If Customer or Purchaser terminates this Quotation (a) prior to the expiry of the applicable term; or (b) before the Ready for Service Date and TELCO Connecting Ltd agrees to such termination, Customer or Purchaser agrees that it shall pay for the remainder of the unexpired term (if applicable).
